However, minor differences in appearance, finish, packaging, or other non-material characteristics may occur.

The MedRasp USA name, trademarks, logos, product information, website content, photographs, graphics, text, and other materials are owned by or licensed to MedRasp USA unless otherwise stated.

These materials may not be copied, reproduced, modified, distributed, or commercially used without prior written permission.

  1. Website Use

You agree not to use the website:

  • For unlawful purposes
  • To submit fraudulent information
  • To interfere with website operation
  • To attempt unauthorized access

MedRasp USA will not be responsible for delays or failure to perform caused by circumstances beyond our reasonable control, including natural disasters, transportation interruptions, governmental actions, customs delays, labor disruptions, supply-chain disruptions, or other extraordinary events.

MedRasp USA may update these Terms & Conditions periodically.

  1. COMMERCIAL SALES AND GOVERNING LAW

MedRasp USA is a U.S.-based surgical instrument brand. Unless otherwise expressly agreed in a written contract, sales of products by MedRasp USA are intended to be commercial transactions and, where applicable, shall be governed by the Uniform Commercial Code as adopted by the State of Wyoming, together with other applicable federal and state laws.

For commercial transactions, the parties intend that the rights and remedies provided in these Terms and Conditions, the applicable quotation, order confirmation, invoice, warranty documentation, and related written documents shall govern the transaction to the maximum extent permitted by applicable law.

Nothing in these Terms and Conditions is intended to waive, exclude, or limit any right, remedy, obligation, or liability that cannot legally be waived, excluded, or limited under applicable law.

  1. LIMITED AND EXCLUSIVE PRODUCT REMEDY

To the maximum extent permitted by applicable law, if a product supplied by MedRasp USA is proven to have a manufacturing defect, material nonconformity, or to have been incorrectly supplied in relation to the confirmed order, MedRasp USA may, at its reasonable discretion, provide one or more of the following remedies:

  • Repair of the affected product;
  • Replacement with the same product;
  • Replacement with an equivalent product; or
  • Refund of the purchase price paid for the affected product.

Where legally permitted, these remedies shall constitute the customer’s exclusive remedies for the applicable product nonconformity.

MedRasp USA shall not be required to provide a remedy beyond those expressly stated above unless such additional remedy is required by applicable law.

If a limitation or exclusive remedy is determined by a court to have failed of its essential purpose, the parties’ rights shall be determined under applicable law.

  1. NO CHANGE-OF-MIND OR CUSTOMER-PREFERENCE RETURNS

Unless otherwise required by applicable law or expressly agreed by MedRasp USA in writing, products correctly supplied in accordance with the customer’s confirmed order are not eligible for return or exchange solely because the customer:

  • Changed their mind;
  • No longer requires the product;
  • Selected the wrong product;
  • Selected the wrong size or configuration;
  • Ordered excess quantities;
  • Expected a different product despite the confirmed specifications;
  • Purchased the product in error; or
  • Prefers another product after delivery.

If MedRasp USA supplies the exact product, SKU/product number, size, specification, configuration, and quantity confirmed by the customer, and the product is delivered without verified shipping damage or manufacturing nonconformity, the sale shall be considered final to the maximum extent permitted by applicable law.

  1. CUSTOMER RESPONSIBILITY FOR ORDER VERIFICATION

The customer is responsible for reviewing and confirming all order details before placing an order, including:

  • Product number/SKU;
  • Product description;
  • Size;
  • Length;
  • Configuration;
  • Quantity;
  • Technical specifications;
  • Intended application; and
  • Shipping information.

An order confirmation issued by MedRasp USA may be relied upon as evidence of the agreed product specifications unless the customer notifies MedRasp USA of an error before shipment.

  1. INSPECTION AND NOTICE OF CLAIMS

The customer shall inspect products promptly following delivery.

Any claim involving incorrect products, missing products, shipping damage, manufacturing defects, or material nonconformity should be reported to MedRasp USA as soon as reasonably practicable and in accordance with the applicable Return & Replacement Policy or order documentation.

Claims should include, where applicable:

  • Order or invoice number;
  • Product number/SKU;
  • Quantity affected;
  • Description of the issue;
  • Photographs or video;
  • Packaging photographs;
  • Shipping documentation; and
  • Any other information reasonably requested by MedRasp USA.

Failure to provide timely notice may affect the customer’s remedies to the extent permitted by applicable law.

  1. NO UNAUTHORIZED RETURNS

No product may be returned to MedRasp USA without prior written authorization.

Where a return is approved, MedRasp USA may issue a Return Authorization (RA) number and provide return instructions.

Products returned without authorization may be refused, returned to the customer at the customer’s expense, or otherwise handled as permitted by applicable law.

Returned products may be inspected before MedRasp USA determines whether a defect, damage, or nonconformity exists.

  1. LIMITATION OF LIABILITY

To the maximum extent permitted by applicable law, MedRasp USA shall not be liable for any indirect, incidental, special, exemplary, punitive, or consequential damages arising from or relating to the sale, delivery, use, inability to use, or performance of any product.

Without limitation, excluded damages may include:

  • Loss of profits;
  • Loss of revenue;
  • Loss of business opportunities;
  • Loss of contracts;
  • Business interruption;
  • Loss of goodwill;
  • Loss of anticipated savings;
  • Loss of data; or
  • Other indirect or commercial losses.

To the maximum extent permitted by applicable law, MedRasp USA’s aggregate liability arising from a particular product sale shall not exceed the amount actually paid to MedRasp USA for the specific product giving rise to the claim.

This limitation applies to claims arising under contract, warranty, negligence, strict liability, or other legal theories, to the extent permitted by applicable law.

Nothing in this section excludes or limits liability that cannot legally be excluded or limited under applicable federal or state law.

  1. PRODUCT USE AND PROFESSIONAL RESPONSIBILITY

MedRasp USA surgical instruments are intended to be used by appropriately trained and qualified healthcare professionals or other authorized users, as applicable to the product and its intended purpose.

The customer and end user are responsible for determining:

  • Whether a product is appropriate for a particular procedure;
  • Whether the product is appropriate for the intended patient or application;
  • Proper handling and use;
  • Cleaning;
  • Disinfection;
  • Sterilization;
  • Storage;
  • Maintenance; and
  • Compliance with applicable professional, institutional, and regulatory requirements.

MedRasp USA does not provide medical diagnosis, treatment, or professional clinical advice through its website or commercial communications.

  1. NO RELIANCE ON UNAUTHORIZED APPLICATIONS

Customers shall not rely upon representations regarding product uses, compatibility, performance, applications, or modifications that are not contained in MedRasp USA’s official product documentation or expressly confirmed by MedRasp USA in writing.

Any modification, alteration, combination, or use of a product outside its documented or expressly confirmed intended purpose is undertaken by the customer at its own responsibility, subject to applicable law.

  1. FORCE MAJEURE

MedRasp USA shall not be liable for delay or failure to perform caused by circumstances beyond its reasonable control, including but not limited to:

  • Natural disasters;
  • Fire;
  • Flood;
  • War;
  • Terrorism;
  • Government action;
  • Regulatory restrictions;
  • Customs delays;
  • Import or export restrictions;
  • Transportation disruptions;
  • Carrier delays;
  • Labor disputes;
  • Epidemics or pandemics;
  • Supply-chain disruptions;
  • Shortages of materials;
  • Utility or infrastructure failures; or
  • Other circumstances beyond MedRasp USA’s reasonable control.
  1. PRODUCT SAFETY AND REGULATORY OBLIGATIONS

Nothing in these Terms and Conditions limits or eliminates any obligation imposed upon MedRasp USA under applicable federal, state, or other mandatory law relating to product safety, medical-device reporting, corrections, removals, recalls, or other regulatory requirements.

MedRasp USA reserves the right to conduct or participate in corrective actions, product corrections, removals, safety communications, or recalls where required or appropriate.

Customers agree to reasonably cooperate with MedRasp USA in connection with any applicable product-safety or regulatory action.

  1. WARRANTY LIMITATIONS

Except for warranties expressly provided in a written MedRasp USA warranty, quotation, order confirmation, or other written agreement, MedRasp USA provides no additional express warranties beyond those expressly stated.

To the maximum extent permitted by applicable law, any implied warranties are limited or excluded only to the extent legally permitted.

Where an exclusion or limitation of an implied warranty is legally required to be written, conspicuous, or to use specific language, MedRasp USA intends that such limitation be applied only in a legally enforceable manner.

Nothing in this section shall be interpreted to exclude a warranty or protection that applicable law prohibits the parties from excluding.

  1. CONTRACTUAL LIMITATION PERIOD

For commercial sales governed by Wyoming law, the parties agree that, to the maximum extent permitted by applicable law, any action arising from or relating to the sale of products must be brought within one (1) year after the claim accrues.

This contractual limitation period is intended to apply only to the extent permitted by applicable law and shall not apply where a longer period is mandatory and cannot legally be shortened.

  1. GOVERNING LAW

Unless otherwise expressly agreed in a written contract, these Terms and Conditions and transactions governed by them shall be governed by the laws of the State of Wyoming, without giving effect to conflict-of-law principles that would require application of another jurisdiction’s law, to the maximum extent permitted by applicable law.

For transactions governed by the Uniform Commercial Code, the applicable provisions of Wyoming’s Uniform Commercial Code shall apply.

  1. EXCLUSIVE VENUE

To the maximum extent permitted by applicable law, any dispute, action, or proceeding arising out of or relating to a commercial transaction with MedRasp USA shall be brought exclusively in the state or federal courts located in Wyoming, and the parties consent to the jurisdiction of those courts.

The parties waive, to the maximum extent permitted by law, any objection based upon inconvenient forum or improper venue.

This provision does not prevent a party from seeking temporary or emergency relief where such relief is legally available in another jurisdiction.

  1. SEVERABILITY

If any provision of these Terms and Conditions is determined to be invalid, illegal, or unenforceable, that provision shall be modified or limited to the minimum extent necessary to make it enforceable, where permitted by law.

The remaining provisions shall continue in full force and effect.

  1. ENTIRE AGREEMENT

These Terms and Conditions, together with the applicable quotation, order confirmation, invoice, warranty, Return & Replacement Policy, Shipping Policy, and any other written agreement expressly incorporated into the transaction, constitute the agreement between MedRasp USA and the customer concerning the applicable transaction.

If there is a conflict between documents, the terms of a separately signed written agreement shall control to the extent of the conflict.

  1. NO WAIVER

Failure by MedRasp USA to enforce any provision of these Terms and Conditions shall not constitute a waiver of its right to enforce that provision or any other provision in the future.

  1. CUSTOMER ACKNOWLEDGMENT

By placing an order with MedRasp USA, the customer acknowledges that it has had an opportunity to review:

  • Product information;
  • Product specifications;
  • SKU/product numbers;
  • Sizes and configurations;
  • Quantities;
  • Pricing;
  • Shipping terms;
  • Return and replacement terms;
  • Warranty terms; and
  • These Terms and Conditions.

By placing an order, the customer agrees to the applicable terms governing the transaction, to the maximum extent permitted by applicable law.

  1. LEGAL COMPLIANCE

These Terms and Conditions are intended to provide a clear contractual framework for commercial transactions and to allocate risks and remedies to the maximum extent permitted by applicable law.

Nothing in these Terms and Conditions is intended to prevent a customer from exercising a right or remedy that cannot legally be waived, or to limit any mandatory obligation imposed by applicable federal or state law.
